Terms of Service

By accessing or using any Signaligence service, you confirm that you have read, understood and agreed to be bound by these Terms of Service and any policies referenced in them. If you are entering into these terms on behalf of an organisation, you represent that you are authorised to do so and that the organisation accepts the terms.

If you do not agree to these terms, you must not access or use the services.

Signaligence provides software, research, validation, analytics, market intelligence and decision-support tools collectively described as the Financial Decision Intelligence Platform. The services may evolve over time and specific features may be added, modified or discontinued.

Access to certain features may require an account, a subscription or a separate agreement.

The services are intended for professional users. You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the services. You are responsible for:

• Providing accurate and current registration information.
• Maintaining the confidentiality of your credentials.
• All activity that occurs under your account.
• Notifying us promptly of any unauthorised access or security incident.

You agree not to:

• Use the services in violation of any law, regulation or third-party right.
• Interfere with the integrity, performance or security of the platform.
• Attempt to gain unauthorised access to any account, system or data.
• Reverse engineer, decompile or disassemble any part of the services, except as expressly permitted by law.
• Use the services to develop a competing product or to benchmark performance without our prior written consent.
• Misrepresent the source of outputs generated by the platform.

You retain ownership of the content, configurations, research and data you submit to the platform. You grant Signaligence a limited licence to host, process and use such content solely to provide, secure and improve the services for you.

You are responsible for ensuring you have the rights necessary to submit content to the platform and that such submission does not violate any law or third-party right.

Signaligence and its licensors retain all right, title and interest in and to the platform, including all software, models, designs, documentation, trademarks and related intellectual property. No right or licence is granted except as expressly set out in these terms.

Where fees apply, they are described in the applicable order, plan or agreement. Fees are payable in accordance with the terms of that order. Unless otherwise stated, fees are non-refundable. Taxes are your responsibility.

The Signaligence services provide research, validation, analytics and decision-support tools. They do not constitute investment advice, financial advice, legal advice or any other regulated professional service. You remain solely responsible for any investment, trading or financial decision you make. See our Disclaimer for additional information.

To the maximum extent permitted by law, the services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non-infringement. Signaligence does not warrant that the services will be uninterrupted, error-free, secure, or that outputs will be accurate, complete or profitable.

To the maximum extent permitted by law, Signaligence and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with the services, even if advised of the possibility of such damages.

The aggregate liability of Signaligence in connection with the services will not exceed the amount you paid to Signaligence in the twelve (12) months preceding the event giving rise to the liability, or one hundred (100) units of the relevant local currency where no fees were paid.

You agree to indemnify and hold harmless Signaligence and its affiliates from and against any claims, damages, losses and expenses arising out of or related to your use of the services, your content or your violation of these terms.

You may stop using the services at any time. Signaligence may suspend or terminate your access to the services, in whole or in part, where you breach these terms, where required by law, or where continued provision would create undue risk to the platform or other users. Upon termination, all rights granted to you under these terms will cease, subject to provisions that by their nature survive termination.

Signaligence may update these Terms of Service from time to time. Material changes will be communicated through the platform or by other reasonable means. Continued use of the services after the effective date of an update constitutes acceptance of the updated terms.

These terms and any dispute arising from them are governed by the laws of the jurisdiction in which Signaligence is established, without regard to its conflict-of-law principles. The parties submit to the exclusive jurisdiction of the competent courts of that jurisdiction, except where mandatory consumer-protection law provides otherwise.
